Minority Shareholders Terminated - Confidential Settlements
Our two clients held managerial positions in a small, closely-held corporation in which one family controlled almost all of the shares of stock. Our clients were not members of that family, but during their employment were allowed to purchase a small number of stock shares in the company, making them minority shareholders in the company. These two employees were terminated within months of the majority shareholders hiring two other family members. Under Ohio law, minority shareholders in a closely-held corporation cannot be terminated without legitimate business reasons.
